Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, and services provided by PT Axis Flow Digital ("Axis Flow", "we", "our", or "us"). By creating an account, signing a service order, or otherwise using the services, you agree to be bound by these Terms.
1. Definitions
- Services means our consulting, finance, audit, training, WhatsApp Business (BSP), and custom SaaS offerings.
- Customer, you, or your means the individual or entity that has agreed to these Terms.
- Customer Data means any data, content, or information that you or your end users submit to or generate within the Services.
2. Account registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.
3. Service scope and engagements
The specific scope, deliverables, fees, and timeline of any engagement (consulting, development, audit, or training) are defined in a separate written service order or statement of work. These Terms apply in addition to that document; in the event of conflict, the service order prevails for that engagement.
4. WhatsApp Business and third-party services
Our WhatsApp Business offering operates on the official WhatsApp Cloud API as an approved Meta Tech Provider. Your use of this service is also subject to:
You must not use our services to send spam, deceptive, abusive, illegal, or policy-violating content. We may suspend or terminate access if such use is detected.
5. Acceptable use
You agree not to:
- Use the services for any illegal, fraudulent, or harmful purpose.
- Reverse engineer, decompile, or attempt to extract the source code of our software, except as permitted by law.
- Disrupt, overload, or attempt to gain unauthorized access to our systems or other users' data.
- Resell, white-label, or sublicense the services without a written enterprise agreement.
- Send unsolicited bulk messages or violate WhatsApp's Business Messaging Policy.
6. Customer Data and ownership
You retain all ownership rights to your Customer Data. You grant us a limited, non-exclusive license to host, process, and transmit Customer Data solely as necessary to provide the services to you.
You are responsible for ensuring you have all necessary rights and consents to the Customer Data you submit, including consent from your end users when sending or receiving WhatsApp messages.
7. Fees and payment
Fees are stated in your service order or in a separate billing arrangement. Unless otherwise specified, invoices are payable within 14 days. Late payments may incur interest at the maximum rate permitted by law and may result in suspension of services.
All fees are exclusive of applicable taxes, including Indonesian VAT (PPN), unless stated otherwise.
8. Confidentiality
Each party agrees to keep confidential information of the other party in confidence and to use it only for the purposes of performing under these Terms or the applicable service order. Confidentiality obligations survive termination for a period of three (3) years.
9. Service availability
We strive to provide reliable services but do not guarantee uninterrupted availability. Scheduled maintenance, force majeure events, and third-party outages (including from Meta or hosting providers) may temporarily affect access. Specific service-level commitments, if any, are documented separately in your enterprise agreement.
10. Intellectual property
We retain all rights, title, and interest in our software, dashboards, branding, documentation, and methodologies. Custom deliverables produced under a service order are assigned per the terms of that order; absent specific assignment terms, we grant you a perpetual, non-exclusive license to use the deliverables for your internal business purposes.
11. Warranties and disclaimers
We provide services with reasonable skill and care. Except as expressly stated in a service order, the services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or data, arising from these Terms or the services.
Our aggregate liability for direct damages under these Terms or any service order is limited to the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from (a) your Customer Data, (b) your violation of these Terms, applicable law, or third-party rights, or (c) your end users' use of your account.
14. Term and termination
These Terms remain in effect while you have an active account or engagement. Either party may terminate for material breach if not cured within 30 days of written notice. Upon termination, your right to use the services ends and we may delete or return Customer Data in accordance with our retention policies and applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiation. If unresolved within 60 days, the dispute will be referred to the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia, "BANI") in Jakarta, in accordance with its rules.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by posting on this page or by email at least 30 days before they take effect. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
